VENDOR CODE OF CONDUCT
BY SIGNING BELOW, THE UNDERSIGNED (REFERRED TO HEREIN AS "VENDOR", WHETHER PROVIDING SERVICES OR MATERIALS) ACKNOWLEDGES THAT ARAMARK UNIFORM & CAREER APPAREL, LLC AND ITS DIVISI***, SUBSIDIARIES AND AFFILIATES (COLLECTIVELY, “ARAMARK” OR THE "COMPANY") DOES NOT CONDONE OR PERMIT THE VIOLATION OF ANY APPLICABLE UNITED STATES, FOREIGN OR INTERNATIONAL LAWS, RULES OR REGULATI***, INCLUDING, WITHOUT LIMITATION, ANY LAWS GOVERNING EMPLOYMENT OR LABOR, THE ENVIRONMENT, THE PROVISION OF SERVICES OR THE SALE OF GOODS. VENDOR FURTHER ACKNOWLEDGES THAT COMPANY DOES NOT CONDONE OR PERMIT THE USE OF CHILD, FORCED, INDENTURED, PRISON, INVOLUNTARY, OR UNCOMPENSATED LABOR IN THE MANUFACTURING OF ANY MATERIALS FOR ARAMARK UNDER ANY CIRCUMSTANCES OR ANY ACTIVITIES WHICH ARE IN VIOLATION OF INTERNATIONAL AGREEMENTS OR APPLICABLE CUSTOMS OR OTHER LAWS, INCLUDING, BUT NOT LIMITED TO, FALSE DECLARATI*** OF COUNTRY OF ORIGIN OR OTHER FALSE DOCUMENTATION, COUNTERFEIT VISAS OR ILLEGAL TRANSSHIPMENT TO EVADE THE TEXTILE QUOTA RESTRAINT AGREEMENTS NEGOTIATED BETWEEN THE COUNTRY OF EXPORT AND THE COUNTRY OF IMPORT. VENDOR ACKNOWLEDGES A POLICY AGAINST ENGAGING IN ANY ILLEGAL ACTIVITIES AND WILL NOT PURCHASE PRODUCTS OR SERVICES PROVIDED THROUGH THE USE OF ANY UNLAWFUL OR UNETHICAL PRACTICES.
In furtherance of the foregoing, Vendor represents and warrants that Vendor complies with the following:
Child Labor: Vendor does not use workers that are younger than 15 years of age (or 14 years of age where c***istent with International Labor Organization guidelines and the local law allows such exception) or the age for completing compulsory education, or the minimum age established by law, whichever is greater. Vendor observes all legal requirements for work of employees under 18 years of age, particularly those pertaining to hours of work and working conditi***.
Compensation and Benefits: Vendor pays at least the minimum total compensation required by local law, including all mandated wages, allowances and benefits.
Environment: Vendor complies with environmental laws, rules, regulati*** and standa*** applicable to its operati***.
Forced Labor: Vendor does not use involuntary or forced labor; either indentured, bounded or otherwise.
*** of Association: Vendor recognizes and respects the right of its workers to exercise lawful rights of free association, including joining or not joining any association.
Haras***ent or Abuse: Vendor provides a work environment free of haras***ent, abuse or corporal punishment in any form.
Health and Safety: In accordance with applicable local laws, rules and regulati***, Vendor provides a safe and healthy work environment. Where residential housing is provided for workers, Vendor provides safe and healthy housing.
Hours of Work: Vendor must ensure employees' hours worked shall not, on a regularly scheduled basis, exceed the lesser of (a) legal limitati*** on regular and overtime hours in the jurisdiction in which it manufactures or (b) 48 hours per week plus 12 hours of overtime or (c) the regular work week plus 12 hours of overtime. In addition, except in extraordinary business circumstances, all employees shall be entitled to at least one day off in every seven-day period.
Laws and Workplace Regulati***: Vendor will comply with laws, rules and regulati*** in all locati*** where it conducts business.
Monitoring and Compliance: Vendor will maintain on site all documentation necessary to dem***trate compliance with these standa***. Company will undertake affirmative measures, such as announced and unannounced on-site inspecti*** of production facilities, to monitor compliance with these standa***. All Vendors must allow Company and/or its representatives full access to production facilities, employee reco*** and employees for confidential interviews in connection with monitoring visits. In addition, Vendor must respond promptly to reasonable inquiries by Company or its representatives concerning the operati*** of Vendor's facilities.
No Discrimination: While Company recognizes and respects cultural differences, Vendor must ensure employment -- including hiring, remuneration, benefits, advancement, termination and retirement -- is based on ability and not on beliefs or any other personal characteristics.
Subcontracting: Vendor may not subcontract work without the express written permission of Company and then such subcontracting shall only be permitted to companies that abide by this Code of Conduct.
Vendor further acknowledges that it is this Company's policy to stop and/or prevent known illegal activities. If Company determines that Vendor or any supplier or subcontractor of Vendor has violated any applicable law, rule or regulation or has engaged in any of the above practices, Company may: (a) provide all ***ailable information, including the name of such Vendor, supplier or subcontractor, to applicable government agencies and law enforcement officials for appropriate action; and (b) exercise its termination rights under the applicable agreement(s) or purchase order(s).
To assist Company in assuring compliance with this Code of Conduct, Vendor agrees to:
- Require all of its officers and employees who will be resp***ible for or involved with the implementation of procedures designed to ensure compliance with this Code of Conduct to review and familiarize themselves with this Code of Conduct;
- Require all of Vendor's subcontractors to execute and deliver to Company this Code of Conduct on or before execution of an applicable agreement or purchase order with Company;
- Provide Company with access to Vendor's and its subcontractors' production facilities to conduct inspecti***;
- Provide Company, upon request, proof of production, including without limitation, shipping documents, production and manufacturing reports, country of origin assembly and manufacturing reports, and similar documentation; and
- Provide Company, upon request, with proof of compliance by Vendor and Company-approved subcontractors with applicable employment and labor laws, rules and regulati*** in the country of manufacture, including, without limitation, proof that all employees meet minimum legal working age and pay requirements, and the right to interview such employees regarding the same. Company reserves the right to take measures to assure the truth of all documents it receives and reviews, and the authenticity of Vendor's sources of supply.
Vendor acknowledges and agrees that Company may require Vendor to reaffirm this Code of Conduct, or execute a new Code of Conduct, from time to time and that this Code of Conduct replaces and supplants any prior Code of Conduct governing Vendor's relati***hip with Company. As a duly authorized officer or director of Vendor, the undersigned acknowledges that he/she has read this Code of Conduct and understands that Vendor's business relati***hip with Company is based on Vendor's full compliance with this Code of Conduct.
Violati*** of this Code of Conduct will be appropriately remedied at the cost of Vendor. Company reserves the right to take necessary measures to ensure future compliance with these standa***. Notwithstanding anything to the contrary in any purchase order or agreement, failure of Vendor to abide by the terms of this Code of Conduct may ultimately result in the immediate termination of any and all purchase orders or agreements between Company and Vendor, including, without limitation, Company's cancellation of orders for goods in process or scheduled to be made at the time of cancellation or termination, whether involving raw materials, work in process or finished goods, or in Vendor's, Company's or a third party's possession.
